Registering a Business

There are various types of business entities which investors can set up in Thailand, with Company Limited
being the most popular. The procedures below involved with starting a business,
using setting up of a Company Limited as an example.

Process, Time and Fees in Registering a Business:
 

1) Reserve the Company Name

  • Register an Account (One of the Founders)
  • Search and Reserve the Company Name
  • Print out the Notice of Reservation

2) Deposit Paid-In Capital

  • At least 3 founders / promoters submit the Memorandum of Association
  • Buy all shares to issue the authorized capital
  • Convene a statutory meeting
  • Promoters transfer the business to the directors
  • The directors call upon subscribers to pay for the shares

3) Register the Company

  • Register the Company
  • Obtain Taxpayer Identification Number
  • Register New Business
  • Submit Company Work Regulations (if any)
    (when hiring 10 or more employees)

For Other Types of Business Entity

  • Sole Proprietorship
    The owner is solely responsible for the business with unlimited liability
     
  • Ordinary Partnership
    2 or more partners are jointly and wholly liable for all obligations of the partnership
     
  • Limited Partnership
    2 or more partners with at least 1 partner whose liability is limited to the amount of capital contributed,
    and at least 1 being unlimitedly liable for all obligations of the partnership

     
  • Company Limited
    At least 3 promoters with their liability being limited to the amount they invested in the company
     
  • Public Company Limited
    At least 15 promoters with Limited liability whose shares may be freely sold and traded to the public
     
  • Branch Office
    Foreign companies may carry out certain business in Thailand through a branch office and may derive income
     
  • Representative Office and Regional Operating Headquarter (ROH)
    Foreign companies may set up a representative or regional office for limited business purposes
    and cannot render services to any person other than its head office or affiliated / group companie
